This Monthly Donor Program Agreement ("Agreement") is entered into between ("Client") and Propeller Enterprises, a California benefit corporation ("Propeller"), effective as of the date this Agreement is signed by both parties.
Purpose
This Agreement outlines the partnership between Propeller and the Client to build and manage a monthly donor program through Propeller's engagement platform and services. The goal is to generate sustainable, recurring income while deepening supporter engagement through experiences, updates, and rewards.
Part I — Platform License
1. Campaigns
Our Change Foundation ("OCF"), a Delaware nonprofit corporation, has contracted with Propeller Impact, LLC ("Impact") to conduct one or more fundraising campaigns (each, a "Campaign") for the benefit of Client. OCF is solely responsible for the distribution of funds, if any, to Client from the Campaigns. Client shall look solely to OCF for any funds from the Campaigns and holds Impact harmless from any and all claims or causes of action relating thereto.
2. Use of Name & Marks
To enable Impact to conduct the Campaigns for OCF, Client hereby authorizes Impact to use Client's name, logo, and trademarks, and likenesses and photos or videos of Client's personnel, organization, and programs, and descriptions of Client's programs, in any media and in other materials Impact develops, solely for the purpose of Impact and its affiliates' conduct of the Campaigns and for historical or archival purposes.
Prior to any public use of Client's name, logo, or trademarks (collectively, "Marks"), Impact shall provide Client a sample of its intended use of the Marks in the form that it intends to use in connection with the Campaign (the "Representative Sample"). Once Client approves a Representative Sample, Impact may use the Marks without additional approvals, provided that Impact does not deviate from the Representative Sample in any material manner without Client's prior written approval.
3. Indemnification
Client hereby agrees to defend, indemnify, and hold harmless Impact and its affiliates and their respective officers, directors, trustees, employees, and agents, from and against any and all claims, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from or in connection with (i) any act or omission of Client in applying for or accepting any grant made to Client by OCF, in expending the grant funds or carrying out any program supported by any OCF grant, (ii) any violation by Client of applicable law, and (iii) the conduct of any Campaign, except to the extent arising from Impact's gross negligence, intentional misconduct, or use of the Marks in violation of this Agreement.
Part II — Monthly Donor Program
4. Roles & Responsibilities
4.1 Client
- Prizes & Experiences. Client will provide and participate in at least one sweepstakes per year, providing a unique prize or experience related to your mission, brand, or art.
- Monthly Updates. Client will either send (or provide copy for) monthly messages to your donor community. These can be personal notes, impact updates, or short videos.
- Exclusive Rewards. Client will offer at least one member-exclusive reward per month — something fans can earn with points on Propeller. This could include items like signed merch, patches, stickers, early access, or tickets. If rewards are limited in quantity (e.g., only 1 or 2 available), we ask that you provide 2–3 unique options that month to ensure enough engagement opportunities.
- Campaign Collaboration. Client will join in limited-time drives or promotions to encourage signups and renewals.
4.2 Propeller
- Build and manage the donor program on the Propeller platform.
- Create content, manage email and social marketing, and run paid promotions as needed.
- Handle sweepstakes compliance, reward fulfillment, and donor support.
- Provide strategy recommendations on rewards and donor engagement.
5. Donation Processing & Fees
Donations will be processed via Propeller's nonprofit partner, Our Change Foundation, which handles disbursements to the Client. The Client can choose disbursement timing (monthly, quarterly, etc.).
Propeller's standard fee is 15% of gross donations raised through the program. There are no upfront costs.
COGs and fulfillment expenses for approved rewards — for example: membership cards for annual members, milestone rewards, and referral rewards — will be invoiced back to the Client on a monthly basis.
6. Reporting & Donor Access
Propeller will provide quarterly performance reports. The Client will have access to donor information and contribution history via the platform's dashboard. All donation and campaign records will be maintained for at least 3 years.
Part III — General Terms
7. Confidentiality
Both parties agree to treat non-public, shared information as confidential and only use it for the purposes outlined in this Agreement.
8. Data & Privacy
Propeller will share supporter data (name, email, donation amounts, actions taken) with Client through the Partner Dashboard. Both parties agree to handle all personal data in compliance with applicable privacy laws. Propeller's Privacy Policy governs the collection and use of user data on the platform.
9. No Agency
Nothing in this Agreement shall be construed to make the parties agents of each other or partners, or to permit either party to incur any expense or bind the other to any obligation not specifically set forth herein.
10. Limitation of Liability
Neither party shall be liable to the other for any indirect, incidental, special, consequential, or punitive damages arising out of or related to this Agreement. Propeller's total liability under this Agreement shall not exceed the total fees received by Propeller from the Client's program during the twelve (12) months preceding the claim.
11. Term & Termination
This Agreement shall commence on the Effective Date and continue for an initial term of twelve (12) months (the "Initial Term"). Unless otherwise agreed in writing, the Agreement will automatically renew for successive one-year terms (each, a "Renewal Term") unless either party provides written notice of non-renewal at least 60 days prior to the end of the then-current term.
This Agreement can also be terminated by either party with 60 days' written notice at any time. If either party breaches the Agreement and doesn't resolve the issue within 15 days of written notice, the other party may terminate immediately.
Upon termination, Propeller will remit any outstanding donation balances to Client within sixty (60) days. Sections 2 (Use of Name & Marks) and 3 (Indemnification) shall survive any termination hereof.
12. Governing Law
This Agreement shall be governed by the laws of the State of California. Any disputes arising under this Agreement shall be resolved through good-faith negotiation, and if necessary, binding arbitration in Los Angeles County, California.
13. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, whether written or oral. This Agreement may be amended only by written instrument signed by both parties.
By signing below, both parties agree to the terms outlined above and commit to collaborating in good faith to make this program a success.

This Agreement supplements Client's existing License Agreement with Propeller Impact, LLC. The terms of that License Agreement remain in full force. In the event of any conflict between this Agreement and the License Agreement, the License Agreement shall control with respect to campaign licensing matters.
